1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Neelim Healthcare Consulting ("we," "us," or "our"). By engaging our services, you ("the Client") agree to be bound by these Terms. Please read them carefully before proceeding.

2. Scope of Services

Neelim Healthcare Consulting provides healthcare licensing consulting services, including but not limited to:

• Eligibility assessment for healthcare licensing across GCC countries
• Document review, preparation, and compilation for licensing applications
• Guidance and support for Dataflow Primary Source Verification (PSV)
• Prometric examination registration support and guidance
• Application submission and tracking with regulatory authorities
• License transfer, renewal, and upgrade assistance
• Relocation guidance and career advisory services

Our services are consulting and advisory in nature. We act as facilitators and guides through the licensing process. The final decision on license approval rests solely with the relevant healthcare regulatory authority.

3. Client Obligations

By engaging our services, you agree to:

• Provide accurate, complete, and truthful information and documentation
• Respond to requests for information or documents in a timely manner
• Notify us promptly of any changes to your qualifications, registration status, or personal details
• Not submit falsified, forged, or misleading documents — any such action will result in immediate termination of services without refund
• Pay all fees as agreed upon in your service package or invoice
• Cooperate fully with the licensing process, including attending examinations and interviews as required

4. Payment Terms

4.1 Service Fees

Service fees are as quoted in your selected package or as agreed in writing. All fees are quoted in USD unless otherwise specified. Fees are subject to change, but any changes will not affect existing agreements.

4.2 Payment Schedule

Full payment is required before services commence unless a specific payment plan has been agreed upon in writing. We accept payment via bank transfer, credit card, and other methods as specified at the time of booking.

4.3 Government and Third-Party Fees

Our service fees do not include government fees, Dataflow verification fees, Prometric examination fees, or other third-party charges unless explicitly stated. These fees are payable directly by the Client and are subject to change by the respective authorities without notice.

4.4 Late Payment

If payment is not received by the due date, we reserve the right to suspend services until payment is received. Continued non-payment may result in termination of services.

5. Service Delivery and Timelines

While we strive to process applications efficiently, timelines are indicative and depend on factors outside our control, including:

• Regulatory authority processing times
• Dataflow verification turnaround
• Prometric examination availability
• Client responsiveness in providing required documents
• Regulatory changes or policy updates by authorities

We do not guarantee specific timelines for license approval, as this is determined entirely by the relevant regulatory authority.

6. Limitations of Liability

To the fullest extent permitted by law:

• We do not guarantee the approval of any license application. The decision to grant, deny, or defer a license is made solely by the relevant regulatory authority.
• We shall not be liable for any delays, denials, or adverse outcomes resulting from inaccurate information or documents provided by the Client.
• We shall not be liable for changes in regulatory requirements, examination content, recognized institution lists, or processing procedures by any authority.
• Our total liability for any claim arising from our services shall not exceed the total fees paid by the Client for the specific service in question.
• We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of income, employment opportunities, or relocation costs.

7. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to provide our services (e.g., submitting applications to regulatory authorities, Dataflow Group, or Prometric), as required by law, or with your written consent.

8. Intellectual Property

All content on our website, including text, graphics, logos, and images, is the property of Neelim Healthcare Consulting and is protected by intellectual property laws. You may not reproduce, distribute, or use our content without prior written permission.

9. Termination

Either party may terminate the engagement with written notice. In the event of termination:

• Fees for services already rendered or in progress are non-refundable
• Government and third-party fees already paid are non-refundable
• We will provide all documents and application materials submitted on your behalf

We reserve the right to immediately terminate services without refund if the Client provides false or fraudulent information.

10. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• The parties shall first attempt to resolve the dispute through direct negotiation in good faith.
• If negotiation fails, the dispute shall be submitted to mediation under the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC).
• These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Abu Dhabi.

11. Amendments

We reserve the right to update these Terms at any time. Changes will be posted on our website with a revised date. Continued use of our services after such changes constitutes acceptance of the updated Terms.
